SOVEREIGN KEY LLC · EFFECTIVE DECEMBER 1, 2026
Beta Terms
Terms of service for the SovereignKey beta.
Last updated: December 1, 2026. These Beta Terms (“Terms”) are an agreement between you and Sovereign Key LLC, a Texas limited liability company (“SovereignKey”, “we”, “us”). They govern your use of the SovereignKey app and related services during the beta (the “Service”). By using the Service you accept these Terms.
1 The beta
- The Service is a pre-release beta offered by invitation to a limited group. It may change, contain errors, or stop working.
- Beta access runs until public launch or until we end the beta, whichever comes first. We may end your access on 30 days’ notice, or immediately if you breach these Terms.
- You agree to keep non-public features and information about the beta confidential, except information about your own wallet.
2 Eligibility
- You must be at least 18 years old and a resident of the United States.
- You may not use the Service if you are subject to U.S. sanctions or on a U.S. government restricted-party list.
3 What SovereignKey is, and is not
- Each SovereignKey wallet is a 2-of-3 bitcoin multisignature wallet. Any two of three keys can move funds; no single key can.
- In the standard setup you hold two keys: the Local Key, protected by your iPhone’s Secure Enclave, and the Cloud Key, encrypted on your iPhone and stored in your own iCloud. We hold the third, the Backup Key, offline.
- In the custom setup you may replace one or both of your keys with your own signing device.
- We never hold two keys to your wallet and cannot move your bitcoin on our own. We do not hold, control or transmit your bitcoin. We are not a bank, exchange, broker or custodian, and your wallet is not insured by the FDIC, SIPC or any government agency.
- We do not give investment, tax or legal advice.
4 Your responsibilities
- You must write down and safely keep the 12-word backup for each of your keys and your wallet’s configuration file. We cannot recover a key you lose.
- If you lose two of your keys and their backups, your bitcoin may be permanently lost. We cannot reverse a bitcoin transaction or recover funds sent to a wrong address.
- You are responsible for the security of your iPhone, Apple Account, email and phone number, and for keeping Stolen Device Protection turned on.
- You must keep your contact details current. We send security alerts to them.
5 The Backup Key
- We sign with the Backup Key only when you request it from a registered device and your request is already signed by one of your keys.
- Before signing, we alert you on every contact channel and every registered device. An officer signs at the bank vault and a second officer approves before broadcast.
- We aim to complete Backup Key signing within 2 business days. Timing is not guaranteed.
- We may refuse or delay a signing request we reasonably believe is fraudulent, unlawful or made under duress, and we will tell you if we do, unless the law prohibits it.
6 Beta-specific risks you accept
- Release key. During the beta, SovereignKey holds the release key that controls the software allowed to protect your Cloud Key’s PIN limit. An independent cosigner will hold it before public launch. Until then, you rely on SovereignKey not to misuse it.
- Balance cap. We ask you to keep no more than $10,000 in each beta wallet. The app will warn you above the cap. Bitcoin sent to your wallet cannot be refused, so the cap is your responsibility.
- Handover. At public launch the app will ask you to unlock your Cloud Key so it can be re-protected under the cosigner’s key. If you do not unlock it within 90 days, you will need your Cloud Key’s written backup to restore it.
- Post-MVP sweep. After public launch we will ask you to move your funds to a new wallet with a new Cloud Key. You approve this move. SovereignKey pays the bitcoin network fee as a credit against your monthly subscription.
- Single server. During testing, our service may run on one server. An outage can delay Cloud Key unlocks and Backup Key requests. Your written backups restore your keys without us.
7 Recovery without us
- Your wallet follows open bitcoin standards. With your keys or their written backups and your configuration file, you can use open-source software to access your bitcoin without SovereignKey, Apple or Google.
8 Fees
- The Service costs $5 per wallet account per month during the beta, billed through Apple in-app purchase or through Stripe on our website. Cancelling does not affect your access to your bitcoin through your own keys.
- Bitcoin purchases through the in-app link are provided by Stripe under Stripe’s own terms. Stripe performs identity checks. SovereignKey receives no fee from them.
9 Third-party services
- The Service relies on third parties, including Apple, Google, Stripe, Twilio and others listed in our Privacy Policy. Their outages or changes may affect the Service. We are not responsible for their services.
10 Acceptable use
- You may not use the Service for unlawful activity, to evade sanctions, to interfere with the Service or its security, or to reverse-engineer it except as the law allows or as our open-source licences permit.
11 Disclaimer
- THE SERVICE IS A BETA PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
12 Limitation of liability
- TO THE EXTENT THE LAW ALLOWS, SOVEREIGNKEY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF BITCOIN CAUSED BY LOST KEYS, LOST BACKUPS, COMPROMISED DEVICES OR ACCOUNTS, OR USER ERROR.
- OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF $100 OR THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
13 Disputes
- These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
- Disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Dallas County, Texas, or by video. You and SovereignKey waive class actions and jury trials. Either party may bring an individual claim in small-claims court instead.
- You may opt out of arbitration by emailing us within 30 days of first accepting these Terms.
14 Indemnity, changes, other terms
- You agree to indemnify SovereignKey against claims arising from your breach of these Terms or misuse of the Service.
- We may update these Terms. We will notify you in the app or by email at least 14 days before a material change takes effect.
- Feedback you give us may be used without obligation to you.
- These Terms and our Privacy Policy are the entire agreement on the beta. If a provision is unenforceable, the rest remains in effect.
